1. These terms
These terms apply to services provided by ASAV Geospatial & Engineering Services unless a signed contract or statement of work says otherwise, in which case that document takes precedence.
Nothing on this website is an offer capable of acceptance. Work begins only when a written scope and price have been agreed by both parties.
2. Scope and quotations
Every engagement is defined by a written scope listing deliverables, standards, format, price and programme. Quotations are valid for thirty days.
Work outside the agreed scope is quoted separately before it is started. We will not silently expand a scope and invoice for it afterwards, and we ask the same clarity in return.
3. Your responsibilities
Timely provision of source data, templates, standards and decisions is a condition of the agreed programme. Where a response is outstanding for more than five working days, the programme is adjusted accordingly.
You warrant that you have the right to supply us with the data and files you provide, and that our use of them for the agreed purpose will not infringe anyone's rights.
4. Revisions
Two revision rounds are included with every deliverable. Corrections required because of an error or omission on our part are outside this allowance and are made free of charge.
Changes arising from a change in your instructions, in the source data, or in a third party's requirements after issue are chargeable and quoted before being carried out.
5. Intellectual property
All intellectual property in deliverables produced for you, including working files, transfers to you on payment in full.
We retain ownership of our own pre-existing tools, scripts, templates and general know-how. We will not use your project material as portfolio or marketing content without your written permission.
6. Confidentiality
Each party will keep the other's confidential information secure and use it only for the purposes of the engagement. This obligation survives completion of the work.
We are willing to sign a client-specific NDA before any information is exchanged, and to accommodate reasonable security requirements imposed on you by your own clients.
7. Professional responsibility
Our deliverables are prepared to the standards, codes and accuracy specifications stated in the agreed scope. Where a deliverable requires certification, stamping or statutory sign-off by a licensed professional in your jurisdiction, that responsibility remains with you or your appointed professional.
Deliverables are prepared on the basis of the source data supplied. We are not responsible for errors that originate in that data, though we will flag anything that appears inconsistent.
8. Payment
Per-deliverable work is invoiced on issue and payable within the agreed terms. Dedicated seats and retainers are invoiced monthly in advance. Prices exclude taxes and bank charges.
We reserve the right to suspend work on materially overdue accounts after written notice.
9. Liability
Neither party excludes liability where it cannot lawfully do so. Subject to that, our total liability arising out of an engagement is limited to the fees paid for the affected deliverable, and neither party is liable for indirect or consequential loss.
Our preferred remedy, and in practice the usual one, is to correct the work promptly at our own cost.
10. Termination
Either party may terminate an engagement on thirty days' written notice, or immediately for material breach that is not remedied within fourteen days of notice.
On termination you pay for work completed and work in progress to the date of termination, and we deliver everything produced to that point.
11. Governing law
These terms are governed by the laws stated in the applicable contract. Where none is stated, the courts of India have jurisdiction, without prejudice to any mandatory consumer or local law protections that apply to you.
